1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website paywithflash.com and the Flash treasury management platform (the "Service"), operated by Flash Lightning Solutions Incorporated ("Flash," "we," "us," or "our"), a Delaware corporation.
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of the Service
Flash is a treasury management platform for businesses holding Bitcoin and using Bitcoin payment rails. The Service provides:
- Connectivity to Bitcoin wallets, Lightning addresses, and exchanges for treasury visibility and reporting
- Multi-user access with role-based permissions
- Transaction labeling, categorization, and reporting tools
- Bitcoin and fiat invoicing with payment tracking
- Integration with third-party services for payments, accounting, swaps, and analytics
- Other related features described on our website
3. Important Disclosures
Non-Custodial Service
Flash is a non-custodial platform. We do not hold, store, custody, or have access to your Bitcoin, cryptocurrency, or fiat funds at any time, including during transactions, swaps, settlements, or any other movement of funds. Bitcoin transactions occur peer-to-peer between you and the counterparty. Fiat transactions are processed by third-party payment processors (such as Maverick / Polaris Payments) that you authorize. Cryptocurrency swap functionality, when offered, is provided through third-party swap services (such as Boltz) that execute transactions through their own infrastructure; Flash does not receive, hold, or transfer user funds at any point in such transactions.
Flash is a technology platform that connects to your wallets, exchanges, and payment processors. Flash does not act as a money transmitter, money services business, custodian, exchange, broker, or financial institution.
Not Financial, Legal, Tax, or Investment Advice
The Service is not intended to provide and does not constitute financial, legal, tax, investment, or accounting advice. Information displayed in the Service may include calculations, estimates, valuations, or aggregations that are for informational purposes only. You are solely responsible for your business and financial decisions and should consult appropriate professionals (such as your accountant, attorney, or financial advisor) before acting on information from the Service.
Third-Party Services
The Service integrates with third-party services, including but not limited to wallets, exchanges, payment processors (Maverick / Polaris Payments), data aggregators (Vezgo), swap providers (Boltz), accounting tools (Intuit / QuickBooks Online), and identity verification services. Your use of those third-party services is subject to their own terms and policies. We are not responsible for the availability, accuracy, security, or actions of any third-party service.
4. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
If you use the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" includes that entity.
The Service may not be available in all jurisdictions. You are responsible for complying with applicable laws in your location and ensuring that your use of the Service is permitted there.
5. Account Registration
To use most features, you must create an account. You agree to:
- Provide accurate, complete, and current information during registration and as required for ongoing use
- Maintain the security and confidentiality of your account credentials
- Promptly update any information that becomes inaccurate
- Be responsible for all activity that occurs under your account
- Notify us immediately of any unauthorized access or suspected security breach
We may require you to provide additional information (such as KYB documentation, identity verification, or beneficial ownership information) for certain features. Failure to provide required information may limit or prevent your access to those features.
6. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right
- Engage in fraudulent, deceptive, or harmful activity
- Process transactions related to prohibited activities, including but not limited to money laundering, terrorism financing, sanctioned parties, illegal goods or services, or any activity prohibited under applicable law
- Interfere with or disrupt the operation of the Service
- Attempt to gain unauthorized access to any part of the Service or its underlying systems
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
- Use the Service to develop or train competing products
- Send unsolicited or unauthorized communications through the Service
- Misrepresent your identity, affiliation, or eligibility
- Upload viruses, malware, or other harmful code
- Use automated tools (bots, scrapers, etc.) to access or extract data from the Service except as expressly permitted
We reserve the right to investigate suspected violations and take action, including suspending or terminating your account, removing content, and reporting to law enforcement.
7. Fees and Payment
Some features of the Service require payment of fees. Current pricing is published on our website and may include subscription fees, transaction-based fees, and other charges. By using paid features, you agree to pay all applicable fees.
Subscription fees are billed in advance on a recurring basis (monthly or annually as selected) and automatically renew unless you cancel before the next billing cycle. You may cancel a subscription at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that time.
Fees are non-refundable unless required by law or expressly stated otherwise. We may change fees with reasonable advance notice. Continued use of the Service after a fee change constitutes acceptance.
Where the Service involves third-party payment processors or service providers, you may also be subject to fees and terms imposed by those third parties, in addition to Flash's fees.
8. Intellectual Property
The Service, including all software, source code, content, designs, trademarks, logos, and other materials, is owned by Flash or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service in accordance with these Terms.
You retain ownership of the content and data you provide to the Service ("User Content"). By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely as necessary to provide and improve the Service. We will not use your User Content for any other purpose without your consent, except as described in our Privacy Policy.
You represent that you have the rights necessary to provide your User Content and that it does not violate any third-party rights or applicable law.
9. Privacy
Your use of the Service is subject to our Privacy Policy at paywithflash.com/privacy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
10. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Service or its servers will be free of viruses or harmful components
- The information available through the Service will be accurate, complete, or reliable
- Any specific outcome will result from your use of the Service
Bitcoin and other cryptocurrencies are volatile assets. The value of digital assets can change significantly over short periods. You acknowledge and accept that you bear the full risk of holding, sending, and receiving Bitcoin and other digital assets.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FLASH OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF FLASH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL FLASH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FLASH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Flash and its officers, directors, employees, agents, and licensors from any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of or access to the Service
- Your violation of these Terms or the Privacy Policy
- Your violation of any law, regulation, or third-party right
- Content or data you provide through the Service
- Your interactions with other users or third parties through the Service
13. Term and Termination
These Terms remain in effect while you use the Service. You may stop using the Service or close your account at any time by contacting us or following the in-product process where available.
We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for any reason, including but not limited to violation of these Terms, suspected fraud or abuse, legal or regulatory requirements, or discontinuation of the Service.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, intellectual property, and dispute resolution — will survive.
14. Governing Law
These Terms and any dispute arising from or related to them or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Dispute Resolution
Informal Resolution
Before filing a formal claim, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will work in good faith to resolve issues within thirty (30) days.
Binding Arbitration
Any dispute arising from or related to these Terms or the Service that is not resolved informally will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except where prohibited by law. Arbitration will be conducted in Delaware (or another mutually agreed location) by a single arbitrator. The arbitrator's decision will be final and binding.
You and Flash each waive the right to a jury trial and to participate in class actions, class arbitrations, or other representative proceedings, except where such waivers are unenforceable under applicable law.
Exceptions
Either party may bring an action in small claims court or seek injunctive or equitable relief in court for matters relating to intellectual property, unauthorized access to the Service, or to enforce arbitration awards.
Time Limit
Any claim arising from or related to these Terms or the Service must be filed within one (1) year after the cause of action arises, or such claim is permanently barred.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service with reasonable advance notice. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
17. Miscellaneous
- Entire Agreement: these Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Flash regarding the Service and supersede any prior agreements
- Severability: if any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect
- No Waiver: our failure to enforce any provision is not a waiver of our right to do so later
- Assignment: you may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction
- Force Majeure: we are not liable for failures or delays caused by events beyond our reasonable control, including acts of God, war, terrorism, government action, internet outages, or third-party service failures
- Headings: section headings are for convenience only and do not affect interpretation
